Syngenis Ventures

Syngenis Ventures is how the company takes direct positions in early stage RNA and DNA technologies, in the areas where Syngenis has genuine depth. Each investment is held in its own special purpose vehicle, funded separately from the public company. That structure keeps early stage risk off the Syngenis balance sheet, while every program it backs draws on Syngenis discovery, laboratories and manufacturing.

Structure

How the model works.

  1. Step 1 — Investment through a special purpose vehicle

Each technology is backed through a separate special purpose vehicle. The vehicle is funded independently, so several programs can run at once and early stage risk stays separate from the Syngenis balance sheet.

  2. Step 2 — Inventor Alignment

The scientists and researchers behind each technology hold direct equity in the vehicle. This is ownership, not a grant or a consulting fee, so the people who created the work stay engaged in its outcome.

  3. Step 3 — Revenue back to Syngenis

Every program uses Syngenis manufacturing, quality systems and intellectual property services. Syngenis earns revenue from each program it hosts, building a diversified commercial revenue stream that scales with the portfolio.

  4. Step 4 — Syngenis Acquisition Option

Syngenis retains a contractual option to acquire a successful vehicle by issuing shares. Where a program produces validated intellectual property or clinical results, it can be brought onto the balance sheet at the right time.
